TheCorps Terms of Service

1. Acceptance of Terms

By accessing or using TheCorps (“the Platform”), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an Organization, you represent that you have the legal authority to bind that entity to these terms.

2. Eligibility

You must be at least 18 years of age to use this Platform as an Organization Admin, Volunteer, or Donor. By using the Platform, you represent that you meet this age requirement and have the legal capacity to enter into a binding contract.

3. Role Definitions

• Super Admin: TheCorps management, with full authority over the Platform.
• Organization Admin: Verified representatives of non-profit entities who manage Projects and approve Campaigns.
• Volunteer: Individuals invited by Organizations to create and manage specific fundraising Campaigns.
• Donor: Individuals or entities who contribute funds to a Campaign.

4. The Role of TheCorps

TheCorps provides the technology to facilitate fundraising. We are not a broker, financial institution, or charity. The responsibility for the success of a campaign and the ultimate use of funds rests solely with the Organization and its Volunteers.

5. Campaign Management & Approval

• Project Wrapper: All Campaigns must be created within a "Project" managed by an Organization.
• Approval: No Campaign will go live on the Public Console until it has been reviewed and approved by the Organization Admin.
• Live Status: Campaigns become "Live" on the specified Start Date once approved.

6. Financial Terms, Fees, and Tips

• Platform Fee: TheCorps charges a 10% hardcoded platform fee on the gross amount of all donations. This fee is used to maintain the Platform’s security and infrastructure.
• Optional Tips: Donors may choose to leave a "Tip" for TheCorps during checkout. This Tip goes directly to the Platform and is separate from the Campaign donation.
• Stripe Connect: We use Stripe Connect to process payments. Organizations must agree to the Stripe Connected Account Agreement to receive funds.

7. Fund Distribution (The "End Date" Rule)

All funds raised for a Campaign are held securely by our payment processor. Payouts to the Organization (minus platform and processing fees) will only be triggered and transferred once the Campaign reaches its scheduled End Date.

8. Refund Policy

TheCorps is responsible for managing refund requests.

• Donors may request a refund for a donation only before the Campaign has reached its End Date.
• Once a Campaign has ended and funds have been transferred to the Organization, all donations are considered final and non-refundable.

9. Prohibited Content and Conduct

You may not use the Platform for any Campaign that involves:

• Illegal drugs, weapons, or illicit substances.
• Hate speech, extremism, or content that promotes discrimination/violence.
• Adult services or sexually explicit content.
• Gambling, lotteries, or "get rich quick" schemes.
• Misleading or fraudulent claims regarding the use of funds.

10. Termination and Suspension

The Super Admin reserves the right to shut down any Campaign, ban any Volunteer, or terminate an Organization's access to the Platform at any time, without prior notice, if there is a suspicion of fraud, illegal activity, or a violation of these Terms.

11. Limitation of Liability

TheCorps shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Platform, including the failure of any Campaign to reach its goal or the misuse of funds by an Organization.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana (LA), without regard to its conflict of law provisions.

13. Mandatory Arbitration

Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Louisiana, and the arbitrator's decision shall be final and binding.
